Optional: Executive Compensation Round Table pre-meeting, targeted to current and former Compensation Committee members, but open to all, and moderated by KarenSmithBogart and JanniceKoors. Topics will include tax cut and Jobs Act impact on executive comp mix, changing use of discretion and more.

11:45a.m.–2:00p.m.

Lunch, and conversation with Karen Smith Bogart and JanniceKoors, where the discussion will be expanded more broadly to issues affecting all directors in matters of strategic executive compensation decisions. Our conversation leaders will get us started on topics such as learnings from the 2018 proxy season, the expanding role of the comp committee, and executive compensation as a powerful communications tool. Our 2017/18 WCD LA/OC season will conclude with another in our series of interactive discussions with prominent women directors. Karen Smith Bogart, along with Jannice Koors, will lead our June conversation and share unique perspectives on the enormous impact of executive compensation decision-making that is the responsibility of the entire board.

Karen Smith Bogart

Karen Smith Bogart, President of Smith Bogart Consulting, has served on the boards of ten U.S., Canadian, and Asian companies. She currently serves on the boards of NYSE-listed Mohawk Industries, and Michelman Inc., a private specialty chemicals company. Her former board roles have ranged from semiconductors, to fintech, to digital printing systems, including at Monolithic Power Systems, Silver Maple Ventures, and ZBE.

Karen was recognized with a “Directorship 100” NACD award in 2016, and is an NACD Board Leadership Fellow.

Previously, Karen was a senior executive at Eastman Kodak managing many of their largest businesses, including as Kodak’s Chairman & President of Greater Asia, based in Shanghai.

She holds an undergraduate degree in Political Science from State University of New York at Geneseo, a Masters in Industrial & Labor Relations from Cornell, an MBA from the University of Rochester, and a PhD and Masters of Arts in Human & Organizational Systems from Fielding Graduate University.

Jannice Koors

Jannice Koors is a Senior Managing Director with PearlMeyer, and President of the firm’s Western region. An expert in executive compensation and governance, she advises boards on all aspects of compensation design, performance measurement, and related corporate governance issues. Pearl Meyer is a national sponsor of WCD.

Jannice is a frequent speaker at seminars and events, and contributor to important published materials including Pearl Meyer’s annual Director Compensation Study. Additionally, she is an NACD Governance Fellow, and serves as faculty for the NACD Director Professionalism and Master Class programs. In addition, in 2016 she was named for the ninth time to the D100 list of the most influential people in corporate governance.

Jannice is a graduate of Wellesley College, and is a member of Wellesley’s Business Leadership Council.
