The Evolving Role of Directors in Shareholder Engagement
The shifts in shareholder representation from actively managed to index funds to the influence of hedge fund activists has resulted in changing dynamics in investor relations from both the C-Suite to the Board. The intent of the program is to give a primer for directors so as to inform them on ways to be proactive and maintain ongoing constructive dialogues with investors and shareholders. How are major index fund managers and other asset managers changing their engagement approaches? What are the priority issues that investors are interested in discussing with management and the Board from ESG, climate risk, culture, to Board composition and diversity? What is the role of management, the Board and its members in these engagements? The panel will discuss these topics as well as share their experiences of best practices of the Board and directors in this dynamically changing and increasingly engaging shareholder world
