Executive compensation continues to be front and
center with many boards and their compensation committees as a result of the
numerous challenges they face, including recent regulatory developments,
intense scrutiny from proxy advisory firms and institutional investors,
continued market uncertainty, an increased focus on performance-based
compensation, and the talent wars.

boardroom. Andrea Rattner, executive compensation partner at Proskauer, will
moderate a panel of HR and executive compensation professionals who will

the SEC clawback rules and NYSE/Nasdaq listing standards (expected to be
released by late February) and what next steps should be taken; Evaluating

incentive awards while considering the perspectives of proxy advisory firms and
institutional investors and competitive pressures; and Exploring the expanding
